Terms & Conditions

1. Payment Terms

All invoices are due in full on the due date stated. A 3.5% credit card processing fee will be applied to all payments made by credit card; this fee is not subject to waiver or discount. Customers may avoid this fee by paying the full invoiced amount via check or ACH. Any invoice not paid within fifteen (15) days of the invoice date will be assessed a finance charge of 1.5% per month (18% per annum) on the entire outstanding balance, compounding monthly from the original invoice date until payment is received in full. Basin Upfitting reserves the right to require payment in advance or suspend work on any account with a past-due balance. Drop-ship orders and parts-only orders are sold on a cash-in-advance basis. Payment of the full invoiced amount, including all applicable freight, taxes, and additional fees, must be received and cleared before Basin Upfitting will place vendor orders or release goods for shipment.

2. Order Binding & Cancellation

Execution of a sales order by the customer constitutes a binding purchase commitment. Basin Upfitting will immediately begin procuring materials and scheduling labor upon order approval. Once any parts have been ordered or any work has commenced, the order is non-cancelable except with the express prior written consent of an authorized Basin Upfitting representative. In the event a cancellation is approved, the customer shall remain liable for: (a) all restocking fees and vendor return charges applicable to ordered parts; (b) the full cost of any non-returnable, special-order, or custom items; (c) labor costs for all work performed or scheduled to date; and (d) any other direct costs incurred by Basin Upfitting in reliance on the order. Approval of a cancellation request does not waive Basin Upfitting's right to recover all costs outlined above. No cancellation shall be effective until confirmed in writing by Basin Upfitting.

3. Returns & Restocking

All sales are final unless Basin Upfitting provides prior written authorization for a return. Return requests must be made within thirty (30) days of invoice and are subject to approval at Basin Upfitting's sole discretion. Approved returns will be subject to a restocking fee consistent with Basin Upfitting's current restocking policy, which ranges from 10% to 35% depending on item classification and vendor requirements, plus any applicable vendor return charges. The following items are strictly non-returnable under any circumstances: special-order parts, custom fabricated items, non-stock parts, electrical components, and any item that has been installed, used, modified, or removed from its original packaging. Credits for approved returns will be issued as account credit only and will not be refunded in cash. Basin Upfitting reserves the right to modify this policy at any time.

4. Collections & Attorney Fees

In the event of non-payment, the customer shall be liable for the full unpaid balance plus all costs of enforcement and collection, including reasonable attorney fees, court filing fees, collection agency fees, and any other expenses Basin Upfitting incurs in pursuing recovery. Finance charges of 1.5% per month shall continue to accrue on all past-due amounts through the date of final payment. In any proceeding to enforce this agreement, Basin Upfitting shall be entitled to recover its attorney fees and costs from the customer. The customer's obligation to pay collection costs arises upon referral to an attorney or collection agency and does not require a court judgment.

5. Delays & Force Majeure

Basin Upfitting shall not be liable for delays in completion or delivery caused by circumstances beyond its reasonable control, including but not limited to vendor lead times, shipping carrier delays, supply chain disruptions, material shortages, weather events, labor disputes, or acts of God. Estimated completion and delivery dates are provided as a courtesy only and do not constitute a guarantee or contractual commitment. Basin Upfitting will make reasonable efforts to communicate known delays in a timely manner.

6. Warranty

LIMITATION OF WARRANTY: Basin Upfitting warrants only that installation work will be performed in a workmanlike manner. This warranty does not extend to any parts, products, equipment, or materials installed. ALL PRODUCTS ARE PROVIDED 'AS-IS' WITH RESPECT TO BASIN UPFITTING, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED. Manufacturer warranties, if applicable, are pass-through only and governed entirely by the manufacturer's policies. Basin Upfitting assumes no liability for product defects, manufacturer warranty denials, or any damages resulting therefrom. To make an installation warranty claim, the customer must notify Basin Upfitting in writing prior to any repair work being undertaken; unauthorized repairs will void this warranty in its entirety.

7. Customer Property:

Abandonment:
7.1 General Rule. Any customer-owned property, parts, equipment, or components left in Basin Upfitting's possession and not claimed within thirty (30) days of the date the applicable work is completed or the vehicle is ready for pickup, whichever is later, shall be deemed abandoned. Basin Upfitting may take ownership of, sell, scrap, or donate such abandoned property without further notice or obligation to the customer, and may apply any proceeds of sale toward outstanding storage, labor, or other charges owed by the customer, with any surplus returned to the customer upon request.
7.2 Take-Off Beds. Where a vehicle arrives with a cargo bed that Basin Upfitting removes to perform the requested upfit ("Take-Off Bed"), the following applies unless the customer has elected otherwise in writing on the applicable sales order:
(a) Basin Upfitting will hold the Take-Off Bed at no charge for ten (10) days following removal.
(b) Beginning on day eleven (11), a storage fee of $25.00 per day will accrue until the Take-Off Bed is either reclaimed or deemed abandoned under Subsection (c).
(c) If the Take-Off Bed remains unclaimed thirty (30) days after removal, it shall be deemed abandoned with no further notice required, and shall become Basin Upfitting's property. Basin Upfitting may sell, scrap, or donate the Take-Off Bed and apply any proceeds toward accrued storage fees, with any surplus returned to the customer upon request.
7.3 Notice Not Required for General Abandonment. Except as expressly stated in Subsection 7.2, Basin Upfitting is not obligated to provide notice before disposing of property deemed abandoned under this Section 7. 

7.4 The customer shall remove all personal property, tools, equipment, cargo, and other items from any vehicle prior to delivery to a Basin Upfitting facility. Basin Upfitting does not inventory, secure, or accept custody of personal property left in or on a vehicle, and assumes no responsibility or liability for the loss, theft, damage, or disposal of any such items, regardless of cause. Any personal property remaining in a vehicle at the time of delivery is left entirely at the customer's risk. Basin Upfitting reserves the right to remove and dispose of any personal property that interferes with the performance of the work, and to charge the customer for the labor and disposal costs incurred

7.5 Vehicles must be delivered to Basin Upfitting in a clean condition and free of debris, cargo, and contaminants. Where a vehicle arrives in a condition that requires cleaning before work can begin, Basin Upfitting reserves the right to assess a cleaning fee at its then-current rate, which shall be added to the customer's invoice. Any resulting delay is the responsibility of the customer, and any estimated completion date shall be extended accordingly. Basin Upfitting further reserves the right to refuse delivery of, or to reschedule work on, any vehicle whose condition presents a safety hazard or prevents the work from being performed.
